Sponsor Terms of Service

Welcome to StreamerHomes.com (the "Platform"). StreamerHomes is operated by Brighter Ecommerce LLC, doing business as StreamerHomes and, from time to time, referred to herein as the Meeting Platform ("MP").

These Sponsor Terms of Service ("Sponsor Terms") govern your access to and use of the Platform as a sponsor, brand, advertiser, agency, business, or other party seeking to engage video game streaming content creators ("Streamers") for sponsorship, advertising, product placement, affiliate, endorsement, or similar promotional arrangements (each a "Sponsorship Arrangement").

By creating a sponsor account, contacting any Streamer through the Platform, or otherwise using the Platform in a sponsor capacity, you agree to be bound by these Sponsor Terms. If you do not agree to these Sponsor Terms, you may not use the Platform as a sponsor.

These Sponsor Terms are separate from, and operate in parallel with, the StreamerHomes Terms of Service applicable to Streamers and other Users (the "Streamer Terms"). Both documents may apply to a given interaction; in the event of a conflict between these Sponsor Terms and the Streamer Terms as they apply to a Sponsor's use of the Platform, these Sponsor Terms control.

1. Definitions.

For purposes of these Sponsor Terms:

•"Sponsor" means you — the business, brand, advertiser, agency, marketing professional, or individual that registers a sponsor account with the Platform or contacts a Streamer through a Sponsor Post or other Platform feature for purposes of a Sponsorship Arrangement. A "Sponsor" is a User of the Platform.
•"Streamer" means a User of the Platform who creates content on a streaming or social platform (such as Twitch, YouTube, Kick, TikTok, Instagram, or similar) and who may be contacted by a Sponsor through the Platform, including but not limited to Users who have created a Sponsor Post.
•"Sponsor Post" means a post created by a Streamer indicating they are open to sponsorship, advertising, product placement, affiliate, endorsement, or similar promotional arrangements.
•"Sponsorship Arrangement" means any agreement, arrangement, or understanding between a Sponsor and a Streamer involving sponsorship, advertising, product placement, affiliate marketing, endorsement, product seeding, gifting, or similar promotional activity.
•"Sponsored Content" means any content produced or published by a Streamer in connection with a Sponsorship Arrangement.
•"Sponsor Assets" means any logo, trademark, product, product key, promo code, marketing copy, image, video, or other material provided by Sponsor to a Streamer or to MP in connection with a Sponsorship Arrangement.
•Capitalized terms used but not defined in these Sponsor Terms have the meanings given to them in the Streamer Terms or in the Privacy Policy.

2. Eligibility and Authority.

2.1 Age. You must be at least 18 years of age to register a sponsor account.

2.2 Authority to Bind. If you are registering on behalf of a company, agency, or other organization, you represent and warrant that (a) you are at least 18 years of age, (b) you have full authority to bind that organization to these Sponsor Terms, and (c) the organization will be deemed the "Sponsor" for purposes of these Sponsor Terms in addition to you personally. "Sponsor" in these Sponsor Terms therefore refers to both you and the organization on whose behalf you act, jointly and severally.

2.3 Accurate Registration Information. You agree to provide accurate, current, and complete information when you register, including your real legal business name (and any DBA you operate under), a working business email, the name of an authorized representative, and the country/state of organization. You agree to keep this information current. Use of shell entities, fictitious business identities, or stolen credentials to register is prohibited and will result in immediate termination.

3. Platform Role and Disclaimer.

StreamerHomes / MP is not an advertising agency, talent agency, marketing representative, manager, broker, intermediary, escrow agent, or affiliate network. MP does not solicit Sponsors on behalf of Streamers, negotiate Sponsorship Arrangements, set or recommend rates, vet Streamers or Sponsors, audit campaign performance, or guarantee any result of any Sponsorship Arrangement.

MP is not a party to any Sponsorship Arrangement, whether written or oral, between a Sponsor and a Streamer. Any Sponsorship Arrangement is solely between the Sponsor and the Streamer involved.

The Platform functions solely as a venue for Sponsors and Streamers to identify one another and to communicate.

4. No Verification of Streamers; Streamer Information at Your Own Risk.

MP does not verify, and makes no representation or warranty regarding, any information posted by a Streamer, including but not limited to: identity, age, ownership of any listed channel, follower or subscriber counts, viewership statistics, engagement rates, audience demographics, prior brand work, content quality, schedule reliability, or willingness or ability to perform any listed activity.

Sponsor is solely responsible for performing its own due diligence regarding any Streamer with whom it considers entering a Sponsorship Arrangement. MP makes no recommendation or endorsement of any Streamer.

5. Sponsor Obligations to Streamers.

Sponsor agrees that, in all dealings with Streamers conducted through or arising from the Platform:

5.1 Honest Identification. Sponsor will identify itself by its real legal name, identify the products or services it intends to promote, and identify the natural person authorized to negotiate and bind the Sponsor. Working through shell accounts or obscuring the identity of the real party in interest is prohibited.

5.2 Written Agreements Before Performance. Before any Streamer produces or publishes Sponsored Content for Sponsor, Sponsor and Streamer should enter into a written agreement covering deliverables, content approval rights, timing, payment amount and schedule, exclusivity (if any), termination, and ownership of resulting content. Verbal-only commitments are strongly discouraged, and MP will not be in a position to evidence or enforce them.

5.3 Timely Payment and Delivery. Sponsor agrees to (a) pay any amounts owed to a Streamer in accordance with the parties' agreement, and (b) deliver any promised product, key, code, or other Sponsor Asset in the timeframe agreed. A pattern of late payment, non-payment, undelivered product, or disputed chargebacks may result in suspension or termination of Sponsor's account.

5.4 No Account Access Requests. Sponsor will not request, accept, or use a Streamer's password, OAuth token, channel administrative rights, login credentials, two-factor codes, banking credentials, or government-issued identifiers. Sponsor acknowledges that legitimate Sponsorship Arrangements do not require any of the foregoing, and that requesting them is grounds for immediate termination of Sponsor's account and may result in referral to law enforcement.

5.5 No Deceptive or Non-Compliant Content Directives. Sponsor will not require, request, or pressure a Streamer to: (a) make false or unsubstantiated claims about Sponsor's products or services; (b) conceal that content is sponsored, paid, or affiliated, in violation of FTC rules or other applicable law; (c) fabricate testimonials or audience reactions; (d) use undisclosed affiliate links; (e) violate the terms of service or community guidelines of the streaming or social platform on which content will appear; or (f) target advertising at minors where prohibited.

5.6 Bait-and-Switch Prohibited. The product, service, offer, or promo code that a Streamer promotes must be the product, service, offer, or promo code that the audience can actually obtain on the terms advertised. Hidden subscriptions, surprise fees, expired offers, geographic restrictions not disclosed in the promotion, or other material undisclosed conditions are prohibited.

5.7 Respect for Refusal. If a Streamer declines a proposed Sponsorship Arrangement or otherwise indicates they do not wish to be contacted, Sponsor will not (a) repeatedly contact that Streamer about the same or substantially similar offer, (b) create alternate accounts to re-pitch, (c) pursue the Streamer through other platforms after being told no, or (d) pressure the Streamer in any way to reconsider.

5.8 No Poaching or Off-Platform Diversion. Sponsor will not use the Platform's messaging system, Sponsor Posts, or other Platform features to recruit Streamers off the Platform to a competing service, to harvest contact information for unrelated marketing, or to solicit Streamers for purposes outside legitimate Sponsorship Arrangements.

5.9 Adherence to Sponsor Rules. Sponsor agrees to comply with the rules set out at sponsorrules.html (the "Sponsor Rules"), as may be updated from time to time, which are hereby incorporated by reference into these Sponsor Terms. In the event of a conflict between these Sponsor Terms and the Sponsor Rules, these Sponsor Terms control.

6. Prohibited Categories.

Sponsor may not use the Platform to promote, solicit promotion of, or otherwise advertise the following categories (the "Prohibited Categories"):

•Sexually explicit, adult, or pornographic products or services.
•Products, services, or content targeted at or designed to be consumed by minors where the promotion would violate applicable law.
•Multi-level marketing, pyramid, "get rich quick," or chain-recruitment schemes.
•"Pay-for-positive-review," undisclosed-endorsement, or other arrangements that would violate the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising or any equivalent law.
•Illegal products, services, or activities under the law of either the Sponsor's jurisdiction or the Streamer's jurisdiction.
•Unregulated dietary supplements making health or therapeutic claims; pharmaceutical products without proper licensing in the relevant jurisdiction.
•Regulated products (including alcohol, tobacco, cannabis, firearms, gambling, financial products, and similar) where Sponsor cannot demonstrate compliance with all applicable advertising restrictions, age-gating requirements, and licensing rules in the Streamer's audience jurisdiction.
•Any product, service, or activity whose promotion would violate the terms of service of the platform on which the Sponsored Content will appear.

MP reserves the right, in its sole discretion, to determine whether a proposed Sponsorship Arrangement falls within a Prohibited Category and to remove, restrict, or terminate any account associated with a Prohibited Category Sponsorship Arrangement.

7. No Payments Through the Platform.

MP does not process, collect, hold, escrow, transmit, invoice, or remit any payment, product, gift, commission, or other consideration between Sponsor and Streamer. All such transfers occur outside the Platform and are solely the responsibility of the parties involved.

Any fees that may be charged by MP to Sponsor for use of the Platform itself (e.g., listing fees, premium account features, if any are ever introduced) are separate from amounts owed by Sponsor to Streamers and are governed by the fee terms in effect at the time. Currently, sponsor accounts are free; MP reserves the right to introduce fees with notice.

8. Sponsor Content and Asset License.

8.1 Sponsor Content. By submitting any text, image, logo, video, document, or other material to the Platform (including in Sponsor's profile, in messages to Streamers, or otherwise) ("Sponsor Content"), Sponsor grants MP a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute Sponsor Content solely for the purpose of operating the Platform, displaying Sponsor's profile to Streamers, and facilitating Sponsor's communications with Streamers. This license terminates when Sponsor removes the relevant Sponsor Content from the Platform or when Sponsor's account is terminated, except to the extent that retention is required by law or by MP's reasonable record-keeping practices.

8.2 Representations Regarding Sponsor Content. Sponsor represents and warrants that (a) Sponsor owns or has all necessary rights, licenses, consents, and permissions to submit Sponsor Content and to grant the rights granted under Section 8.1; (b) Sponsor Content does not violate any law or infringe or misappropriate any third-party right (including trademark, copyright, right of publicity, or right of privacy); and (c) Sponsor Content does not contain malware, false advertising, or other prohibited material.

8.3 Sponsor Assets to Streamers. Any Sponsor Assets that Sponsor provides directly to a Streamer in connection with a Sponsorship Arrangement (including logos, products, codes, scripts, talking points, and similar) are licensed by Sponsor to that Streamer on terms to be agreed between Sponsor and Streamer. MP is not a party to that license and disclaims any responsibility for its terms, scope, or enforcement. Sponsor is responsible for clearly communicating the permitted uses and limitations of any Sponsor Assets to the Streamer.

8.4 MP's Brand Marks. "StreamerHomes," "StreamerHomes.com," and related names, logos, and slogans are trademarks of Brighter Ecommerce LLC. Sponsor may not use these marks without prior written permission, except to reference the Platform truthfully in connection with a Sponsorship Arrangement.

9. Compliance with Law.

Sponsor agrees to comply with all applicable federal, state, local, and foreign laws, regulations, and industry guidelines in connection with its use of the Platform and any Sponsorship Arrangement, including but not limited to: (a) the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising; (b) state-level influencer and endorsement disclosure laws; (c) consumer protection and false-advertising laws; (d) data protection and privacy laws applicable to any personal data Sponsor collects from Streamers or audiences; (e) tax reporting and withholding obligations on amounts paid to Streamers; (f) sanctions and export-control laws; and (g) the terms of service of the streaming or social platforms on which Sponsored Content will appear.

Sponsor acknowledges that MP makes no representation that any proposed or completed Sponsorship Arrangement is compliant with the foregoing, and the burden of compliance lies entirely with Sponsor and the Streamer.

10. Messaging, Ratings, and Communications.

10.1 Messaging. The Platform includes a messaging system for Sponsors and Streamers to communicate. Sponsor agrees not to share sensitive information (financial details, personal identification information, contract drafts containing sensitive terms) through the messaging system and to use email or other secure channels for sensitive matters. MP is not responsible for maintaining, archiving, securing, or preserving messages or attachments.

10.2 Ratings and Reviews. Streamers may be permitted to leave public ratings or written reviews about their experience with a Sponsor. Sponsor acknowledges that its conduct, communications, payment history, and compliance with agreed terms may be reflected in such ratings or reviews. MP reserves the right, but has no obligation, to monitor, remove, or suppress ratings or reviews that it determines, in its sole discretion, are abusive, misleading, unlawful, or intended to manipulate the review process. MP does not adjudicate factual disputes between Sponsors and Streamers reflected in reviews.

11. Prohibited Conduct.

11.1 Interference with the Platform. Sponsor may not access, use, or interfere with the Platform except through the interfaces provided. Without limitation, Sponsor will not (a) deploy or use bots, scrapers, or other automated means to access, query, or copy Streamer information; (b) introduce malware, viruses, or other harmful code; (c) probe, scan, or test the vulnerability of any system or circumvent security measures; (d) attempt to gain unauthorized access to any accounts or data; (e) interfere with the operation of the Platform; (f) frame, mirror, or otherwise display the Platform within another website without prior written consent; or (g) use the Platform in a manner that imposes an unreasonable load on infrastructure.

11.2 No Reverse Engineering. Except to the extent prohibited by applicable law, Sponsor may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms of the Platform.

11.3 File Upload Restrictions. Sponsor may upload only files in formats permitted by the Platform and subject to applicable size and content limits. Sponsor is strictly prohibited from uploading executable files, scripts, or other files intended to execute code (including .exe, .bat, .cmd, .sh, .msi, and similar). MP reserves the right to block, quarantine, or remove any file transfer it deems a security risk.

11.4 No Harvesting. Sponsor will not collect, compile, or store personal information about Streamers obtained through the Platform for any purpose other than evaluating and conducting a specific Sponsorship Arrangement, and will not retain such information after the Sponsorship Arrangement concludes except to the extent reasonably necessary for tax, audit, or legal records.

12. Removal, Suspension, and Termination.

MP reserves the right, at its sole discretion, to: edit or remove Sponsor's content, profile, or messages; restrict or suspend Sponsor's access; or ban Sponsor and any affiliated personnel or accounts from the Platform. These actions may be taken for any reason, including violation of these Sponsor Terms, the Sponsor Rules, or applicable law, or based on credible complaints from Streamers.

Sponsor may close its account at any time by contacting MP. Termination does not relieve Sponsor of obligations to Streamers under existing Sponsorship Arrangements.

13. Limitation of Liability.

To the fullest extent permitted by law, MP shall not be liable to Sponsor for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to:

• Sponsor's use of or inability to use the Platform.
• Any Streamer's representations, content, conduct, performance, or non-performance, whether on the Platform or in connection with a Sponsorship Arrangement.
• Any Sponsorship Arrangement, including disputes over deliverables, timing, payment, content quality, audience response, regulatory compliance, intellectual-property or right-of-publicity claims, tax liabilities, fraud, misrepresentation, or other misconduct by a Streamer.
• Loss of marketing spend, return on advertising spend, brand reputation, customer acquisition, or other business outcomes.
• Removal of Sponsor's content, suspension of Sponsor's account, or other moderation actions.

MP's total aggregate liability to Sponsor under or relating to these Sponsor Terms, if any liability is found notwithstanding the foregoing, will not exceed the greater of (a) the fees paid by Sponsor to MP in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred U.S. dollars ($100).

Sponsor uses the Platform at its own risk.

14. Indemnification.

Sponsor agrees to defend, indemnify, and hold harmless MP, Brighter Ecommerce LLC, and their affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Sponsor Content or Sponsor Assets; (b) Sponsor's conduct on or off the Platform in connection with any Streamer or Sponsorship Arrangement; (c) any Sponsorship Arrangement entered into by Sponsor, including any claim by a Streamer, audience member, regulator, or third party arising therefrom; (d) Sponsor's violation of these Sponsor Terms, the Sponsor Rules, or applicable law; or (e) any allegation that Sponsor Content or Sponsor Assets infringe or misappropriate the rights of a third party.

15. Modifications to Terms.

MP reserves the right to modify these Sponsor Terms at any time. Material changes will be communicated to Sponsor by email to the address on file or by notice on the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the revised Sponsor Terms.

16. Moderation.

MP has the right, but not the obligation, to monitor Sponsor Content, Sponsor's communications with Streamers, and Sponsor's conduct generally on the Platform. MP may remove content that violates these Sponsor Terms or that MP deems inappropriate.

17. MP's Intellectual Property.

The Platform, including its "look and feel," user interface, design, layout, software, code, features, functionality, and all content and materials made available by MP on or through the Platform (excluding Sponsor Content) (collectively, the "Platform Materials"), are owned by or licensed to MP and are protected by intellectual property and other laws. Except as expressly permitted by these Sponsor Terms, Sponsor may not copy, reproduce, modify, distribute, publicly display, publicly perform, create derivative works from, sell, license, rent, lease, transfer, or otherwise exploit any Platform Materials. All rights not expressly granted are reserved by MP.

18. Feedback.

If Sponsor submits any ideas, suggestions, proposals, improvements, or other feedback regarding the Platform ("Feedback"), Sponsor agrees that such Feedback is provided voluntarily and without restriction. Sponsor grants MP a perpetual, irrevocable, worldwide, royalty-free, fully paid-up right and license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose, without compensation or credit to Sponsor.

19. Copyright Infringement (DMCA).

MP respects intellectual property rights. If Sponsor believes its work has been copied in a way that constitutes copyright infringement, please contact MP by mail at the address at the end of these Sponsor Terms. In accordance with the Digital Millennium Copyright Act, MP will remove infringing content and may terminate accounts of repeat infringers.

20. General.

20.1 Governing Law. These Sponsor Terms are governed by and construed in accordance with the laws of the state in which Brighter Ecommerce LLC is organized, without regard to conflict of law principles.

20.2 Class Action Waiver. To the fullest extent permitted by law, Sponsor agrees that it may resolve disputes with MP only on an individual basis, and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

20.3 Severability. If any provision of these Sponsor Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remainder will continue in full force and effect. A court may reform any unenforceable provision to the closest lawful meaning that reflects the parties' original intent.

20.4 Electronic Communications; Electronic Signatures; Notices. By accessing or using the Platform as a Sponsor, Sponsor consents to receive communications from MP electronically. All agreements, notices, disclosures, and other communications MP provides electronically satisfy any legal requirement that such communications be in writing.

•Electronic Signatures / Acceptance: Registering a sponsor account, clicking an "I Agree" or "Accept" button (or check box), or otherwise accessing or using the Platform as a Sponsor constitutes Sponsor's electronic signature and acceptance of, and intent to be bound by, these Sponsor Terms and the Privacy Policy.
•Notices to Sponsor: MP may provide notices to Sponsor by email to the address associated with the account, by message within the Platform, or by posting on the Platform. Sponsor is responsible for keeping its contact information current.
•Notices to MP: Notices to MP must be sent to the address at the bottom of these Sponsor Terms.

20.5 Assignment. Sponsor may not assign, transfer, or delegate any rights or obligations under these Sponsor Terms (by operation of law or otherwise) without MP's prior written consent. Any attempted assignment without such consent is void. MP may assign these Sponsor Terms (in whole or in part) without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

20.6 Entire Agreement. These Sponsor Terms, together with the Sponsor Rules, the Privacy Policy, and any additional policies or guidelines posted on the Platform, constitute the entire agreement between Sponsor and MP regarding Sponsor's use of the Platform. They supersede all prior or contemporaneous understandings or agreements regarding the same subject matter.

20.7 Force Majeure. MP will not be liable for any delay or failure to perform any obligation under these Sponsor Terms if the delay or failure results from events beyond MP's reasonable control, including natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, power or internet outages, governmental actions, or failures of third-party services.

20.8 No Agency. These Sponsor Terms do not create any agency, partnership, joint venture, employment, or fiduciary relationship between MP and Sponsor. MP and Sponsor are independent parties.

20.9 Survival. The provisions of these Sponsor Terms that by their nature should survive termination (including Sections 8.2, 13, 14, 17, and 20) shall survive.
